GENERAL TERMS AND CONDITIONS ARTICLE 1 – IDENTITY OF THE SELLER Food for Skin BV Chamber of Commerce number: 83722300 VAT identification number: NL862969712B01, Amsterdam, NL hello@foodforskin.care

1. Applicability
These general terms and conditions apply to all agreements between Food for Skin BV and its customers, suppliers and retailers.

2. Orders & Deliveries

  • Orders will be processed after confirmation and payment.

  • Delivery times are indicative and may vary. We aim to dispatch within 4 working days.

  • Delays do not give rise to any right to compensation.

  • We ship via Sipack Fulfilment and PostNL.

3. Prices & Payment

  • All prices are exclusive of VAT, unless otherwise stated.

  • Payment must be made within the agreed term.

  • You can pay via Credit Card, PayPal and iDEAL. When paying with a credit card, the conditions of the card issuer apply.

  • For secure payments, transaction data is encrypted with SSL technology. You can recognize a secure SSL connection by the lock in your browser.

  • Unless otherwise agreed, payment must be made within 14 days after the cooling-off period. For services, this period starts after confirmation of the agreement.

  • Report incorrect payment details immediately. In case of late payment, you will receive a reminder with a 14-day term. If payment is not made, the statutory interest applies and collection costs may be charged (min. €40).

  • Collection costs are calculated in accordance with the statutory scale from the Collection Costs Act (WIK).

  • The entrepreneur may deviate from these conditions to the advantage of the consumer.

  • The supplier shall establish a recommended retail price (RRP) as described in Appendix B. 5.2 The retailer, partner or salon is permitted to change prices within reasonable margins, provided that this does not conflict with Article 4.

4. Quality & Warranty

  • Products must meet the agreed specifications and legal requirements.

  • Any defects must be reported within 7 days of receipt.

  • Warranties are provided in accordance with statutory provisions and specific product conditions.

5. Liability

  • Food for Skin BV is not liable for indirect damage.

  • Liability is limited to the invoice amount of the relevant product or service.

6. Cancellation & Returns

  • Cancellation of orders is only possible if they have not yet been shipped.

  • Returns are possible within 14 days, provided the product is unused and in its original packaging.

  • Returns will only be accepted if the product is unopened and undamaged, unless there is a manufacturing defect.

  • Return shipping costs are borne by the customer, unless otherwise agreed.

7. Force Majeure

  • In the event of force majeure, Food for Skin BV has the right to suspend or cancel the agreement without compensation.

8. Intellectual Property

  • All intellectual property rights to products and content remain the property of Food for Skin BV or the respective supplier.

9. Disputes & Applicable Law

  • Dutch law applies to all agreements.

  • Disputes will be submitted to the competent court in Amsterdam.

10. Sale

  • The retailer, partner or salon may only sell the products via its own site.

  • The retailer, partner or salon may not resell the products to third parties, including resellers or distributors.

  • The retailer, partner or salon is prohibited from selling the products via marketplaces, including but not limited to bol.com, Amazon and other similar platforms.

11. Promotional activities

  • The retailer, partner or salon may organize a discount promotion a maximum of three times per calendar year.

  • Each discount promotion may have a maximum duration of one week.

  • The maximum discount that may be offered during a campaign is 15% on the sales price. Promotional activities are always at the retailer's expense, provided that Food for Skin organizes a national campaign. In that case, Food for Skin will make a purchase offer where purchases can be made with a discount (how much discount will be considered each time).

  • The retailer, partner or salon must inform Food for Skin at least two weeks in advance that they are going to carry out a promotion.

  • The retailer, partner or salon is not allowed to advertise Food for Skin products via social media channels such as Google, Meta and TikTok.

12. Other provisions Unilateral Amendment Clause.

The supplier reserves the right to unilaterally change the terms of this agreement, if there are reasonable grounds for doing so. If the retailer, partner or salon does not agree with the proposed change, it has the right to terminate the agreement free of charge within the set period, unless the change results from legal obligations.
